Web Artisans: Detailed Terms and Conditions

1. Introduction
Welcome to Web Artisans. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please refrain from using our services.

2. Scope of Services
Web Artisans provides a comprehensive range of web design, development, and digital solutions, including but not limited to website creation, eCommerce development, content management systems (CMS), web maintenance, and digital marketing. The specific services to be provided will be outlined in a written agreement or proposal tailored to the client’s needs.

3. Client Responsibilities
Clients are responsible for providing all necessary content, including text, images, logos, and other materials, in a timely manner. Delays in providing these materials or in responding to requests for feedback may result in project delays. Clients are also responsible for ensuring that they have the necessary rights and permissions to use any content provided to Web Artisans for inclusion on their website.

4. Project Timeline and Delivery
Web Artisans will provide an estimated timeline for the completion of the project, which will be detailed in the project proposal or agreement. While we strive to adhere to these timelines, they are subject to change based on project scope, client cooperation, and unforeseen circumstances. Any delays caused by the client, including delays in providing necessary materials or approvals, may extend the delivery date. Web Artisans will not be held liable for any losses or damages resulting from project delays.

5. Payment Terms
Payment terms will be explicitly defined in the project agreement. Typically, a non-refundable deposit of 30-50% of the total project cost is required before work begins, with the remaining balance due upon project completion or according to a payment schedule agreed upon by both parties. All payments must be made within the stipulated time frame. Failure to make timely payments may result in project delays, suspension of services, or additional fees. Web Artisans reserves the right to retain ownership of the final product until full payment is received.

6. Revisions and Changes
Clients are entitled to a specified number of revisions as detailed in the project agreement. Revisions must be requested within the timeline specified in the agreement. Requests for revisions beyond the included number or changes that significantly alter the original project scope may incur additional charges. These charges will be communicated to the client and must be approved before any further work is undertaken.

7. Intellectual Property Rights
Upon full payment, the client will receive ownership of the final website and its content, except for any third-party software, plugins, or licenses used in the project. Web Artisans retains the rights to any proprietary tools, code, or methodologies used in the creation of the website. Web Artisans also reserves the right to include a discreet credit link on the client’s website and to showcase the completed project in our portfolio and marketing materials unless otherwise agreed upon in writing.

8. Third-Party Services and Tools
Web Artisans may recommend or utilize third-party services, plugins, or tools to enhance the functionality of the client’s website. While we carefully select and integrate these tools, we are not responsible for any issues or liabilities arising from the use of third-party services. The client may be required to agree to the terms and conditions of these third-party providers and is responsible for any ongoing costs associated with their use.

9. Confidentiality and Data Protection
Web Artisans is committed to maintaining the confidentiality of all client information. We will not disclose any confidential information to third parties without the client’s prior consent, except as required by law. Both parties agree to adhere to applicable data protection regulations, including the General Data Protection Regulation (GDPR) where relevant. Clients are responsible for ensuring that any personal data they provide is accurate and that they have obtained any necessary consents for its use.

10. Warranties and Disclaimers
Web Artisans warrants that the services provided will be performed in a professional and workmanlike manner. However, we do not guarantee that the website will be completely error-free or that it will meet all client expectations. Any warranties for third-party services or software are provided by the respective vendors. Web Artisans disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability
To the fullest extent permitted by law, Web Artisans shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services, including but not limited to loss of data, profits, or business opportunities. Our total liability under these Terms and Conditions, regardless of the cause of action, shall not exceed the total fees paid by the client for the services in question. This limitation of liability applies even if Web Artisans has been advised of the possibility of such damages.

12. Termination and Cancellation
Either party may terminate the agreement at any time by providing written notice. If the client terminates the project before completion, they will be responsible for payment of all work completed up to the date of termination. Web Artisans reserves the right to terminate the agreement if the client breaches any of the terms or fails to make payments in a timely manner. Upon termination, Web Artisans will deliver all completed work to the client, and the client will be responsible for securing any unfinished portions of the project.

13. Indemnification
The client agrees to indemnify, defend, and hold harmless Web Artisans, its employees, contractors, and affiliates from any and all claims, liabilities, damages, and expenses, including reasonable attorneys’ fees, arising from or related to the client’s use of the services, breach of these Terms and Conditions, or violation of any law or the rights of a third party.

14. Dispute Resolution
In the event of a dispute arising out of or in connection with these Terms and Conditions, the parties agree to first attempt to resolve the dispute through informal negotiations. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in [Your Jurisdiction], in accordance with the rules of the [Arbitration Organization]. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether oral or written.

19. Amendments
Web Artisans reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any significant changes, and continued use of our services after such changes constitutes acceptance of the new terms.
